Glamour Face Perfumes and Cosmetics Trading LLC
These Terms & Conditions govern all wholesale transactions between Glamour Face Perfumes and Cosmetics Trading LLC (“Supplier”) and the purchasing business (“Buyer”). By placing an order, the Buyer agrees to be bound by these terms.
1. Order Acceptance
All orders for goods or services are subject to acceptance by Glamour Face Perfumes and Cosmetics Trading LLC. Any terms proposed by the Buyer that conflict with these Terms & Conditions are expressly excluded. A binding contract is formed only once an order has been formally accepted by the Supplier.
2. Pricing
All prices are quoted exclusive of delivery, insurance, duties, or applicable taxes unless stated otherwise. Price lists, catalogues, or website listings are provided for reference only and do not constitute an offer. Prices may change without prior notice, and the applicable price will be the one confirmed at the time of order or shown on the final invoice.
Any variation to an order that results in additional goods, services, or costs will be charged separately at the Supplier’s prevailing rates.
3. Risk & Ownership
Risk in the goods passes to the Buyer once the goods are dispatched from the Supplier’s premises. Ownership and legal title to the goods remain with Glamour Face Perfumes and Cosmetics Trading LLC until full payment of all outstanding amounts has been received.
Until ownership transfers, the Buyer must store goods separately and allow the Supplier to repossess unpaid goods if required.
4. Special & Non-Stock Orders
Orders placed for non-stock or special-order items are non-returnable unless the manufacturer agrees to accept a return. Any approved return may be subject to transport, handling, insurance, and restocking charges.
5. Product Substitution
If an ordered item is unavailable, Glamour Face Perfumes and Cosmetics Trading LLC may substitute it with a product of similar specification and value. The Buyer will be informed in writing. If no written objection is received within seven (7) days of delivery, the substitution will be deemed accepted.
6. Product Representation
Product images, descriptions, samples, and catalogue listings are for reference only. Minor variations in packaging, color, texture, or finish may occur due to manufacturing changes and do not constitute defects.
7. Payment Terms
Payment must be made according to the terms stated on the invoice, which may include:
- Advance payment before dispatch
- Cash on delivery
- Agreed credit terms
- Electronic transfer within agreed timeframes
- Partial advance with balance payable upon delivery
- Letter of Credit (LC)
Failure to make payment may result in suspension of further supply.
8. Order Cancellation
Order cancellations require written approval from Glamour Face Perfumes and Cosmetics Trading LLC. If cancellation is not approved, the Buyer remains liable for payment. The Supplier reserves the right to cancel any order in cases of non-compliance, breach of terms, or provision of false information.
9. Scope of Services
The Supplier will provide goods and related services as outlined in the Buyer’s order. Any additional services reasonably required to fulfill the order may be performed at the Supplier’s discretion.
10. Acceptance & Claims
Goods are deemed accepted upon delivery. Any claims relating to defects, shortages, or non-conformity must be submitted in writing within seven (7) days of receipt. Claims submitted after this period may not be accepted.
11. Intellectual Property
All trademarks, copyrights, designs, and intellectual property associated with the goods remain the property of their respective owners or the Supplier. No rights are transferred to the Buyer unless agreed in writing.
12. Force Majeure
The Supplier is not liable for delays or failure to perform caused by events beyond its reasonable control, including natural disasters, government actions, supply chain disruptions, labor disputes, or transportation issues.
13. Clerical Errors
Glamour Face Perfumes and Cosmetics Trading LLC reserves the right to correct any clerical, typographical, or calculation errors in documentation or pricing.
14. Modifications
Any modification to these Terms & Conditions must be made in writing and signed by an authorized representative of Glamour Face Perfumes and Cosmetics Trading LLC.
15. Delivery
Deliveries may be made in installments unless otherwise agreed. Each delivery constitutes a separate supply obligation.
16. Credit Information
The Buyer authorizes Glamour Face Perfumes and Cosmetics Trading LLC to obtain and exchange credit information for the purpose of assessing creditworthiness and managing ongoing trade relationships.
17. Governing Law
These Terms & Conditions are governed by the laws of the United Arab Emirates, and the parties submit to the jurisdiction of UAE courts.
18. Authority
Any order placed or agreement executed by an employee or agent of the Buyer shall be binding on the Buyer.
19. Indemnification
The Buyer agrees to indemnify and hold harmless Glamour Face Perfumes and Cosmetics Trading LLC against all claims, losses, damages, or legal expenses arising from the supply or use of goods, except where prohibited by law.
